1. Definitions

1.1 "Company" refers to Transparent Corporation Pty Ltd.

1.2 "Client" refers to the individual or entity purchasing and using the AI voice bot services.

1.3 "Service" refers to the AI voice bot call service provided by the Company.

1.4 "Batch" refers to the scheduled calls executed via the AI voice bot.

2. Compliance and Data Responsibility

2.1 The Client acknowledges and guarantees that all contact data provided for the Service consists of their direct clients and that they have obtained explicit consent for marketing communications or have verified the data against the official Australian Do Not Call Register (DNCR) as required by the Telecommunications (Telemarketing and Research Calls) Industry Standard 2017.

2.2 The Client assumes full responsibility for ensuring compliance with all Australian privacy laws, including but not limited to the Privacy Act 1988 (Cth) and the Spam Act 2003 (Cth).

2.3 The Company will not be held responsible for any non-compliance or legal repercussions arising from the Client's failure to adhere to regulatory requirements.3. Data Handling and Retention

3.1 The Client acknowledges that Transparent Corporation Pty Ltd does not retain any of their client data after the Service has been performed, ceased, or terminated.

3.2 Any provided data will only be used for the execution of the Service and will not be stored, shared, or used beyond the agreed purpose.

4. Payment and Refund Policy

4.1 The use of the AI voice bot Service requires an upfront Bot setup fee and prepaid call packages for execution.

4.2 Once the AI voice bot setup has commenced or call batches have been scheduled or executed, the Client acknowledges that no refunds will be issued under any circumstances.

4.3 The Client is responsible for selecting and paying for the appropriate package, and the Company is not liable for any unused call quotas.

5. Liability and Responsibility

5.1 The Client acknowledges that they are using a third-party AI voice bot for their calls and that Transparent Corporation Pty Ltd is not making any direct calls to their clients.

5.2 The Client assumes full liability for any repercussions, legal actions, complaints, or damages arising from the use of the AI voice bot.

5.3 Any disputes, claims, or legal issues resulting from interactions with recipients of the AI voice bot calls will be solely the responsibility of the Client, and the Company is not liable for any claims or damages arising from such interactions.

6. Acknowledgment and Agreement

6.1 By signing or accepting these Terms and Conditions upon payment, the Client acknowledges and agrees to the terms outlined herein.

6.2 The Client affirms their understanding that they are fully responsible for their compliance with all applicable regulations and for any consequences arising from the use of the Service.7. Governing Law

7.1 These Terms and Conditions shall be governed by and construed in accordance with the laws of Australia. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Australia.
